Agency Partner Agreement

This agreement sets out how an agency resells or manages Sayweek for its own clients and the discount it receives.
It is accepted electronically: by ticking the box and typing your full name, company and title you sign it for the partner.
Approved partners accept this agreement electronically on the Sayweek partner acceptance page. The numbers are the program's current settings; a partner with individual terms accepts a copy filled in with their own terms.
1. Parties
Sayweek is provided by MAD Consulting L.L.C-FZ, Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E., trade licence no. 2203919, TRN 104079416400001, e-mail hello@sayweek.com ("Sayweek", "we").
Partner: the company or person approved by Sayweek and named in the electronic acceptance ("Partner", "you").
2. Definitions
"Customer": a business that subscribes to Sayweek. "Referred Customer": a Customer attributed to you under section 4. "Net Amount": what a Referred Customer actually paid for a Sayweek invoice, excluding VAT and after discounts, refunds and chargebacks. "Partner Link": your personal link (sayweek.com/p/…). "Promo Code": a promotion code Sayweek created for you. "Clearing House": Sayweek's ledger of commissions, holds, statements and payouts, visible to you on your partner dashboard.
3. Appointment
Sayweek appoints you as a non-exclusive agency partner. You may subscribe to Sayweek for your clients, manage their workspaces and invoice them for your own services. You act in your own name: you are not Sayweek's agent and may not make commitments on Sayweek's behalf.
Sayweek may work with other partners in any market and may sell to any company directly.
4. Attribution
A company is attributed to you when it signs up within 90 days after first opening your Partner Link (first touch: the first partner link the browser used counts), when its first paid invoice uses your Promo Code, or when Sayweek assigns it to you.
Each Customer can be attributed to one partner only, once. You cannot be attributed to yourself: your own workspace, your own addresses and colleagues at your own company (the same e-mail domain) never count. Sayweek's records are decisive; obvious errors are corrected in the Clearing House.
5. Reseller discount
The Sayweek subscriptions of your client workspaces attributed to you get a 30% discount at checkout, for as long as this agreement is in force. The discount replaces commission: no commission is earned on discounted subscriptions.
The discount cannot be combined with other offers at checkout; where an offer for the same subscription is better, the client may choose it instead.
6. Holding period, statements and payment
Every commission line is held for 30 days after the invoice was paid, so that refunds and chargebacks can still reduce it. After that it is ready for the monthly statement.
Once a month Sayweek prepares your statement. It is approved and e-mailed to you only when the amount due is at least €50; a smaller amount is carried forward to the next month.
After the statement e-mail you send Sayweek an invoice for the approved amount. Sayweek pays a correct invoice within 30 days of receipt by bank transfer or PayPal, in euro.
Clawback: if a payment that earned commission is refunded or charged back, the commission is reversed – also after it was paid out. A reversal is deducted from your next statements (a negative balance is carried forward); a negative balance left at the end of the agreement is repayable within 30 days.
Payouts are made only while you have accepted the current version of this agreement.
7. Taxes
All amounts are net. You bear your own taxes and social charges. You give Sayweek your VAT number / TRN; VAT on your invoice (standard rate, reverse charge or none) is applied as determined with Sayweek's accountant for your country and status. Sayweek may withhold amounts if the law requires it.
8. Marketing and brand use
You may use the Sayweek name and logo only as shown in the brand guidelines Sayweek provides, only to promote Sayweek, and never so that it looks like you are Sayweek. You may not register domains or social accounts with the Sayweek name, nor bid on "Sayweek" as a search keyword.
No spam and no misleading claims: describe only features and prices published on sayweek.com, promise no results, and disclose that you are a partner where the law requires (affiliate / advertising disclosure). The Acceptable Use Policy applies: https://sayweek.com/acceptable-use.
9. Data protection
You and Sayweek are each independent controllers of the personal data you hold. You are not a processor of Sayweek's customer data: your dashboard shows only counts, statuses and the company names of Referred Customers. Sayweek's Privacy Policy: https://sayweek.com/privacy.
Where you manage your clients' Sayweek workspaces, you are the Sayweek customer for them: the Terms of Service and the Data Processing Agreement apply between you and Sayweek (https://sayweek.com/data-processing-agreement), and you are responsible for your clients' authorisation and instructions.
10. Confidentiality
Both parties keep the other's non-public information (prices not published, statements, customer information, product plans) confidential during the agreement and for 3 years after it, and use it only for this agreement.
11. Liability
Each party's total liability under this agreement is limited to the fees paid to Sayweek for the client workspaces attributed to you in the 12 months before the claim. Neither party is liable for indirect or consequential loss or lost profit.
These limits do not apply to intent, gross negligence, breach of confidentiality, infringement of the other party's intellectual property, or where the law does not allow them.
12. Term and termination
The agreement runs for an indefinite period. Either party may terminate it with 30 days' notice by e-mail; either party may terminate it with immediate effect for a material breach (e.g. spam, misleading claims, self-referral, fraud).
After termination the reseller discount ends at the end of each client's current billing period. Amounts already approved are paid.
13. Changes
Sayweek may change this agreement with 30 days' notice by e-mail. A new version applies once you accept it; until then payouts are paused. If you don't accept it, either party may terminate under section 12.
14. Governing law and disputes
